1. Acceptance of Terms

By accessing or using Blamphs.ai ("Service"), operated by Ironclad Equity Pty Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Blamphs.ai provides an autonomous control plane for AWS GPU workloads. The Service monitors GPU clusters, optimizes resource utilization, detects and resolves infrastructure issues, and provides cost-saving recommendations and automation.

3. User Accounts and Registration

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years of age or have parental/guardian consent

You are responsible for all activities that occur under your account.

4. AWS Credentials and Access

To use the Service, you grant us read-only access to your AWS infrastructure via IAM roles. You acknowledge that:

  • We store AWS credentials securely using AES-256-GCM encryption
  • We only request read-only permissions to monitor GPU resources
  • We do not have write access to your AWS infrastructure
  • You can revoke access at any time by deleting the IAM role
  • You remain responsible for all AWS charges incurred by your workloads

5. Subscription Plans and Billing

5.1 Pricing

We offer multiple subscription tiers based on the number of GPU nodes monitored and savings delivered. Current pricing is available at /pricing.

5.2 Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of Service

5.3 Free Trial

We may offer free trials at our discretion. At the end of a trial, you will be charged unless you cancel before the trial ends.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to monitor infrastructure you do not own or have permission to access
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, obscure, or alter any proprietary notices on the Service

7. Intellectual Property

The Service and all related content, features, and functionality are owned by Ironclad Equity Pty Ltd and are protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

8. Data Ownership and Usage

You retain all rights to your data, including AWS metrics and configuration data. By using the Service, you grant us permission to:

  • Access and process your AWS infrastructure data to provide the Service
  • Use anonymized, aggregated data for analytics and service improvement
  • Store your data in accordance with our Privacy Policy

9. Service Availability and Changes

We strive to provide reliable Service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify or discontinue any part of the Service with notice
  • Perform scheduled maintenance with advance notification
  • Suspend Service for emergency maintenance or security issues

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR AWS CHARGES, DATA LOSS, OR INFRASTRUCTURE FAILURES

11. Indemnification

You agree to indemnify and hold harmless Ironclad Equity Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Unauthorized access to your AWS infrastructure

12. Termination

Either party may terminate this agreement at any time:

  • You may cancel your subscription through your account settings
  • We may terminate or suspend your account for violation of these Terms
  • Upon termination, your access to the Service will cease immediately
  • We will delete your AWS credentials within 30 days of termination

13. Governing Law and Disputes

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with Australian law, except where prohibited by law.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
